I've had both asus and gigabyte motherboards, and they've both worked great for me. The Gigabyte board has better onboard audio if that makes any difference to you.
For the RAM, I agree that ocz and corsair are both good brands, so either one should be fine. I also agree that you should spend an additional $17 for the 3500 processor as that's a small price to pay for a performance boost that will also help your system last a little longer in the long run.
