i have personaly used both gigabyte and asus motherboards and both are very good. my last two computers were both gigabyte and the one im using now is asus and i have no complaints at all.
I have always loved amd processers as well. 3000+ is slower then i prefer but if you dont plan to use anything real system intensive like games or anything it should be great.
If this isnt your first build i would say go with the asus just because its a bit more popular. customer service is great with them as well. i never had to call customer service for gigabyte though. The asus came with pretty crappy instructions on how to set it up but if you know what your doing it shouldnt be a problem. the gygabites always came with a single sheet that tells exactly how to get it together. so bascicly its a toss up between the two boards. both seem to work well.
No idea what to tell you as far as ram goes. never had any trouble with any ram i used.
