This is what I found on RingFAQ, and what I belive to be true:

Mid-January, 1997: Jackson, keen to keep the artisans hired for Kong working, immediately starts them on pre-production for a Lord of the Rings film while he contacts the protective owner of the film rights to Tolkien's work, producer Saul Zaentz. At a meeting with Jackson and his writing parter Fran Walsh, Zaentz is impressed by the pair's enthusiasm, and agrees to the idea of a movie if they are involved. Jackson then takes the project to Miramax, who expresses preliminary interest.

Late July 1998: Executives at Miramax become worried about the cost of the project and the risk of shooting two movies at once with an unproved director. They ask Jackson to re-work the project as a single film. When Jackson refuses, they give him three weeks to find other backers. Jackson quickly assembles a demo tape of various things WETA is working on, including orc costume and make-up tests, miniatures, and early computer graphics work.
Mid-August 1998: Jackson meets with Bob Shaye of New Line Cinema. After seeing the 36-minute demo tape, Shaye is so impressed he suggests that Rings should be three films, not two. New Line buys control of the project from Miramax, and Jackson and his writing partners begin the process of converting their 2-movie screenplay into a three film format.
