You can only absorb so much protein at a time. I've been told that amount is around 20-25g, but I've also been told it's as low as 18g and as high as 40g. If you're looking to build muscle you should be aiming for about 1 gram of protein for every pound of body weight, spread out over a few meals/shakes per day. Any more than that and your body starts storing the protein as fat.
As for the other question, if you take in more calories than you need for the day, no matter how healthy the foods are, you'll still get fat. Figure out your BMR (just google for 'BMR Calculator') and plan your diet around that.
