Opinions on a computer upgrade?

I'm about to do some video editing and I am considering upgrading my computer. I effectively have an unlimited budget but I would prefer to get the best bang for my buck. I'm also looking for an highly efficient system since one of my goals is minimal noise. This is what I'm currently running:

Intel P4 3.0GHz HT processor
Asus P5AD2 motherboard
4 x 512 Corsair 533MHz RAM

What I'm looking to do is upgrade my processor and, hence, my motherboard. I'm also considering upgrading my memory to match but I'm considering forgoing this considering the costs. This is my tentative shopping list:

$399.99 Intel Core 2 Duo E6600 2.4GHz 4MB L2 cache
$184.99 Asus P5B-E

Possibly:

$299.99 Kingmax 2GB (2 x 1024MB) DDR2 800MHz

I already have:

Thermaltake CL-P0071 Sonic Tower fanless CPU cooler
Antec Phantom 350W fanless power supply
Asus EN7600GS silent graphics card

If I put all this together, I will finally have my fanless system! ...except for the case fans, sadly. Luckily, they are 120mm fans and the most quiet moving things in my computer. This upgrade will cost me $885 with the new RAM, $585 without it.

What do you all think? Thank you...

it's worth the money if you have that much to spare :) since you're doing some video editing why not upgrade the hdd as well ( if your hdd is a smaller capacity)

What was your old cpu? You might want to think about upgrading that power supply.

Why don't you read my post?

My old CPU is an Intel P4 3.0 GHz HT processor.

I'm using a 350W PSU now and the Core 2 Duo uses almost half the power of my P4 so I'm hoping it'll be okay...
